Compulsory liquidation


Compulsory liquidation is the process of winding-up a company by the court. It is most frequently used by a company’s creditors, but it is possible for others—such as the company itself, or members—to also use this process. It is an alternative to voluntary liquidation (both creditors’ voluntary liquidation (CVL) and members’ voluntary liquidation).

The circumstances in which a company can be wound up by the court

By a company’s creditors

A winding-up petition is most commonly issued by a creditor who is owed money and is unable to recover it through the usual debt recovery methods. A creditor may issue a petition on the following grounds:

  1. •

    they have served a statutory demand and the 21-day period for payment/response has expired

  2. •

    they have an enforcement or execution process following a judgment, which is unsatisfied, either in full or in part, or

  3. •

Late application for expert evidence refused in restructuring plan case (Kington v Thames Water)

Restructuring & Insolvency analysis: This case concerned an application by Kington Ltd to adduce expert evidence from a competition economist, in support of competition law arguments brought against a proposed plan to restructure Thames Water’s debts under Part 26A of the Companies Act 2006 (CA 2006). The court rejected the application, holding that it was made too late, would be too disruptive to the procedural timetable, and that the opinions expressed in the proposed draft expert report were heavily qualified and so of limited assistance on the issues in dispute. The judgment provides guidance on the test to be applied when seeking permission to adduce expert evidence. It highlights the importance of ensuring that proposed expert evidence provides firm conclusions on the points in dispute between the parties, and that applications to admit it are made promptly, particularly in expedited proceedings. Insolvency Service announces winding up order against Kent renewable energy retailer

The Insolvency Service has announced a High Court winding up order against Renugen Limited, a Kent-based renewable energy products retailer, following an investigation. The order was issued after investigators identified £74,570 in undelivered orders affecting 34 customers, with only £15,265 refunded. The investigation revealed the company had continued trading while reporting no activity between 2021-2023, conducted £48,000 in unexplained cryptocurrency transactions (unrelated to renewable energy products), and had six business bank accounts, of which two had been closed due to scam complaints. The Official Receiver has been appointed as liquidator of the company.

ESRB publishes proposal for EU-wide opt-in insolvency framework in new ASC Insight paper

The European Systemic Risk Board (ESRB) has published an ASC Insight paper, written by Bo Becker and Martin Oehmke proposing the creation of an EU-wide opt-in insolvency framework. The publication identifies current weaknesses in European insolvency frameworks, including low creditor recovery rates for corporate bank loans, which range from 35–50% and difficulties handling complex cross-border cases.

Insolvency Service reports closure of London art gallery company over financial irregularities

The Insolvency Service has reported that Artwork Holdings Ltd, formerly Yield Gallery Limited, has been wound up by the High Court following an investigation that began in October 2023. The company, which operated two London galleries claiming to sell works by prominent artists, was found to have provided conflicting accounts of its trading status, maintained inaccurate financial records showing £4.2m in sales but only £2m in bank deposits, and potentially underpaid VAT and corporation tax. Investigators also found the company had improperly obtained a £50,000 coronavirus bounce back loan and failed to register as an art market participant under money laundering regulations. The Official Receiver has been appointed as the liquidator.
